건조중인 선박은 아직은 선박이라고 할 수 없음에도 불구하고 우리 상법은 건조중인 선박에 저당권을 설정할 수 있다고 규정하고 있다. 즉, 상법 제787조(선박저당권)에서는 “① 등기한 선박은 저당권의 목적으로 할 수 있다.”고 규정하고 있으며, 동 제790조(건조 중의 선박에의 준용)에서는, “이 절의 규정은 건조 중의 선박에 준용한다.”고 규정하여 건조 중의 선박에 저당권을 설정할 수 있음을 규정하고 있다. 하지만 우리 상법은 위의 규정이외에는 건조중인 선박이 무엇을 말하는지, 저당권의 효력이 미치는 범위, 이에 대한 등기시점은 언제로 할 것인지 등에 대하여는 전혀 규정을 두고 있지 않기 때문에, 해석상 논란의 여지를 남겨두고 있다. 이에 본 연구에서는 건조중인 선박에 대한 문제점으로 제기되는 건조중인 선박이 무엇을 말하는지, 건조중인 선박계약의 법적 성질의 문제, 소유권의 귀속문제, 저당권의 효력이 미치는 범위, 건조중인 선박에 대한 강제집행의 방법, 선박건조계약과 관련한 문제점 등에 대하여 살펴보도록 한다.

Although the vessels under construction is not a vessel, Korean commercial law provide that the vessels under construction could be mortgaged. That is, “A registered ship may be the object of a ship mortgage.(Commercial law Article 787(1))”, and “The provisions of this Section shall apply mutatis mutandis to ships under construction.(Article 790)”. Here, the phrase “the vessels under construction may be the object of a ship mortgage.” means not that “the vessels under construction could be mortgaged on the assumption that the vessel fully constructed”, but that “the vessel under construction it self could be mortgaged”. But the commercial law doesn't provide (ⅰ) what is the vessel under construction, (ⅱ) what is the scope of the mortgage (ⅲ) when is the correct time of registration of mortgage. So there is a debate over these matters. Therefore this research aim to find a solution for the above mentioned problems. In other words, this research studies (ⅰ) what is the vessel under construction, (ⅱ) what is the legal characteristic of the shipbuilding contract (ⅲ) belonging of the ownership of the vessel under construction (ⅳ) what is the scope of the mortgage (ⅴ) the matter and procedure of execution to the vessel under construction (ⅵ) the problems of the shipping contracts.
